BLINN COLLEGE, BRYAN/COLLEGE STATION CAMPUSES
PROFESSIONAL ASSOCIATION
Preamble
In order to provide a formal structure for the Blinn College, Bryan/ College Station Campuses, Professional Association, to conduct its business, we, the faculty adopt this constitution.
ARTICLE I
SECTION 2: This organization shall have a minimum of two regular meetings each year, one at the beginning of each long semester, the exact date and time to be set by the president of the Association. Notification of meetings must be given one week ahead of time to all eligible members.
SECTION 3: Additional meetings necessary to carry on the prescribed business of the Association shall be called at the discretion of the president of the Association or in response to a petition signed by twenty-five percent of the members in good standing.
SECTION 4: Forty percent of the membership
shall constitute a quorum.
MEMBERSHIP
SECTION 2: .Those eligible for membership shall consist of Bryan campus and College Station Campus professional staff members who are employed either (1) on a Regular, Adjunct, or Part-time contract, or (2) in a position which requires at least a bachelor's degree.
PURPOSES OF THE ASSOCIATION
SECTION 2: The Association may also discuss and make recommendations on reports presented by standing and ad hoc faculty committees, whose purposes are as follow:
A. to work toward professional growth;
B. to administer any faculty scholarships (if established by the Association);
C. to administer social events and programs of interest to this Association;
D. to encourage and support student extra-curricular activities;
E. to promote community awareness of the faculty and student activities of the Bryan Campus.
SECTION 3: The Blinn College, Bryan Campus, Professional Association is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).
SECTION 2: A slate of officers shall be presented by a nominating committee at a special meeting in the Spring Semester. This slate should be sent to all members in good standing two weeks prior to this special meeting.
SECTION 3: In addition to nominations submitted to the Association by the Nominating Committee, nominations may be made from the floor, with prior consent from the person being nominated.
SECTION 4: Election of officers for
the following academic year will be conducted during-a special meeting
in the spring; election will require a simple majority vote by the members
present.
SECTION 6: Each officer shall be from a different division or the administration.
ARTICLE V
OFFICERS: DUTIES
SECTION 1: It shall be the duty of the president to preside at all meetings of the Association.
SECTION 2: It shall be the duty of the president to call any additional meetings deemed necessary to carry on the prescribed business of the Association. The president shall see that the membership is notified of any such called meetings at least one week prior to the meeting.
SECTION 3: It shall be the duty of the president to appoint standing committees as designated in this constitution.
SECTION 4: It shall be the duty of the president to appoint any special committees.
SECTION 5: It shall be the duty of the president of the Association to approve all official communications sent out in the name of the Association.
SECTION 6: It shall be the duty of the president of the Association to conduct all meetings according to Robert's Rules of order
SECTION 7: It shall be the duty of the vice-president, in the absence of the president, to conduct all meetings of the Association and to assume all other duties and functions of the presiden
SECTION 8: It shall be the duty of the vice-president to succeed to the office of the president in the event of the death or the resignation of the president.
SECTION 9: It shall be the duty of the secretary-treasurer to record the minutes of the proceedings of all meetings.
SECTION 10: It shall be the duty of the secretary-treasurer to conduct all correspondence of the Association.
SECTION 11: It shall be the duty of the secretary-treasurer to establish and keep a full and accurate account of all monies collected and disbursed by the Association.
SECTION 12: It shall be the duty of the president of the Association to sign all checks and the duty of the secretary-treasurer to cosign all checks.
ARTICLE VI
MISCELLANEOUS
SECTION 1: Any section of any article of the by-laws of this constitution may be suspended at any business session of this Association by a two-thirds majority vote of the members present.
SECTION 2: A proposed amendment to this constitution must be submitted not later than one month prior to a regular meeting. Due publicity of the proposed amendment is the responsibility of the officers of the Association. The ratification of a proposed amendment to this constitution requires a vote of two-thirds majority of the membership.
SECTION 3: No business shall be transacted unless a quorum is present.
SECTION 4: No committee shall transact business unless a quorum is present.
SECTION 5: The president shall appoint any or all of the following standing committees following his or her election:
Scholarship Committee
Social Events Committee
Student Activities Committee
Community Awareness Committee
ARTICLE VII
ADOPTION
This constitution shall be adopted by a two-thirds majority vote of those attending the organizational meeting and the approval of the Board of Trustees.
All actions taken by this Association determined by the Administration and Board of Trustees to be outside the domain of this constitution are invalid. Any changes in this constitution and by-laws are subject to the approval of Administration and Board of Trustees.
