Constitution of the Blinn College Ex-Students Association

Article I
Name -- The name of this corporation shall be The Blinn College Ex-Students Association

Purpose -- The purpose of the Association is to maintain contact with all former students of the College, to encourage support for and participate in the educational, cultural, athletic and social programs of the College, to encourage personnel recruitment of students by members, to assist the College in achieving planned goals and objectives, and to provide fellowship among former students, friends and supporters of Blinn College.

Article II

Membership
Active Members -- All former students of Blinn College and their spouses, current faculty members and their spouses, ex-faculty members and their spouses, and anyone who is interested in furthering the objectives and purpose of the Blinn College Ex-Students Association are eligible for membership in the Blinn College Ex-Students Association.

Honorary Member -- All executive officers of Blinn College, present and former members of the college's board of trustees, and other individuals who have made outstanding contributions or who have done outstanding service to the college may be selected as honorary members by a two-thirds vote of the Executive Committee of the Blinn College Ex-Students Association. Honorary members are not required to pay dues.

Life Members -- Anyone eligible for membership as an active (or associate member) by definition may become a life member by paying a life membership fee. Annual dues cease when life membership fees are paid.

Full membership privileges of the Blinn College Ex-Studens Association shall be extended to those eligible members upon receipt of their yearly membership dues and shall hereinafter be referred to as "Member" or "Members."

Annual and life membership dues shall be determined and set by a vote of the Executive Committee of the Blinn College Ex-Students Association. The Association's treasurer shall collect dues for all classes of membership.

Article III
Executive Committee
The government of the Blinn College Ex-Students Association shall be vested in an Executive Committee composed of six (6) at-large directors, the Immediate Past President and four Officers.

The Executive Committee shall be elected at the annual meeting of the members of the Blinn College Ex-Students Association. Directors shall serve  two-year (2) terms, with three (3) directors being elected each year. The term of office for the Officers shall be one (1) year and shall commence the first of the month following the annual meeting and be for the next twelve (12) calendar months. All nominations for the Executive Committee shall be made from the floor at the annual meeting and all nominees for the Executive Committee must be active members in good standing in the Blinn College Ex-Students Association.

The Executive Committee will meet on a quarterly basis (November-February-May-August).

This Group will be responsible for reviewing Blinn College Ex-Students activities on a quarterly basis, providing guidance to staff, making provisional decisions related to time-sensitive issues, review financial matters, and establishing the agenda for annual meetings.

The Officers shall be empowered to act for the Executive Committee in all matters subject to later approval by the Directors, except that the Officers shall not appropriate non-budgeted funds in excess of $500 without specific authorization from the Directors.

Article IV
Officers
The Officers of the Blinn College Ex-Students Association shall consist of a President, a Vice President, a Secretary and a Treasurer.

The duties of the Officers shall be to represent the Blinn College Ex-Students Association at all public and ceremonial occasions, conduct the business of the Association, fulfill duties as Officers of the Association's Executive Committee, and such other duties as are appropriate to the intent and purpose of the Association. Said Officers are to be elected at the annual meeting of the members.

All nominations for officers shall be made from the floor and all nominees for officers must be active members in good standing in the Blinn College Ex-Students Association.

Article V
Annual Meeting
The annual meeting shall be held at a place and time selected by the Executive Committee of the Blinn College Ex-Students' Association on the day scheduled as "Homecoming" by the College.

Article VI
Amendments
The bylaws may be amended at any meeting of the Blinn College Ex-Students Association by a majority of those present and voting thereon, provided the proposed amendment or amendments shall have first been submitted to the Association's Executive Committee and favorably acted upon.

Article VII
Dues
The annual dues of the Blinn College Ex-Students Association shall become due and payable on or before November 1 of each year.

Article VIII
Quorum at Meeting
A quorum at any meeting of the Blinn College Ex-Students Association shall be majority of the members present at such meeting.

Article IX
Vacancies
Vacancies of an office or position on the Executive Committee of the Blinn College Ex-Students Association shall be filled by presidential appointment with the advice and consent of the Executive Committee for the remaining term of the position.

Article X
Meetings
Annual Meeting --Blinn College Ex-Students' association general membership shall be held on the date that is set by Blinn college for its annual homecoming.

Regular Executive Committee Meeting -- The Executive Committee will meet on a quarterly basis (November-February-May-August).

Committee Meetings -- Standing Committees, Task Groups and Ad HOC Committees will be called by the committee Chair as necessary based upon the charge of the Committee.

Notice of Meetings -- The President shall notify members of the Executive Committee about all regular and special meetings at least five (5) days before such meeting, unless notice of such meeting is waived by the members of the Executive Committee.

The President or an appointed member or officer shall notify each member of the Blinn College Ex-Students' Association of the date, time, and place of the annual meeting of the Association.

Meeting Attendance Policy -- For the purposes of maintaining continuity in planning, decision-making and information sharing, the Blinn College Ex-Students Association will utilize an attendance policy by the Executive Committee.

Executive Committee Members who are absent from two consecutive meetings may be asked to resign their position.

Article XI
Election
All elections shall be held at the annual meeting of the Blinn College Ex-Students Association.

Article XII
Terms of Office of Officers
Each officer of the Blinn College Ex-Students Association shall be elected for a term of one (1) year.

Article XIII
Duties of Officers
President -- The President shall be the presiding officer of the Blinn College Ex-Students Association. He shall be responsible for the general direction of the affairs of the Association and shall be its official representative. The President shall appoint necessary committees as the needs arise. After the term in office is concluded, the President shall assume the position of Past President.

Vice President -- The Vice President of the Blinn College Ex-Students Association shall act as an assistant to the President and shall carry out the duties when the President is absent or incapacitated.

Treasurer -- The Treasurer shall receive and disburse all funds of the Blinn College Ex-Students Association, maintain all financial records, and perform other duties as assigned by the President in the interest of serving the stated purposes of the Association. The Treasurer, with the signature of any other officer, shall countersign all checks written.

Secretary -- The Secretary shall record and maintain the minutes of all Executive Committee and annual Association meetings; may countersign, with the Treasurer, checks of the Association; and perform other duties as assigned by the President. The Secretary shall keep the membership lists.

Article XIV
Other Committees
The President may appoint standing committees deemed necessary to achieve the goals, purposes, and best interests of the Blinn College Ex-Students Association.

Blinn College Ex-Students Association members will be encouraged to serve on any of the Standing Committees, Task Forces and ad HOC Committees.

The Standing Committees are:

  2. By-Laws

  3. Strategic Planning

  4. Budget and Finance

  5. Advisory Committee

  6. Hall of Honor

  7. Membership

  8. Public Relations/Marketing

Task Forces and ad HOC Committees will be designated by the Executive Committee as appropriate.

Article XV
Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Blinn College Ex-Students Association in all cases to which they are applicable and in which they are not inconsistent with this constitution and bylaws and any special rules of order the Association may adopt.
