THE BY-LAWS OF THE
BUCCANEER ALUMNI LETTERMEN ASSOCIATION, INC.
Article I - Name and Purpose
Name - the name of this corporation shall be the Buccaneer Alumni Lettermen Association, Inc. (Association).
Purpose - The purpose of the Association is to maintain contact with all former athletes, coaches, and athletic personnel of Blinn College, to encourage support for and participate in the educational and athletic programs of the College and to provide fellowship among former student-athletes, friends and supporters of Blinn College. All activities of the Association must be in agreement with The Memorandum of Understanding approved by the Blinn College Board of Trustees on October 12, 1998.
Article II - Membership
Active Members - All former student-athletes and their spouses, present and past coaches and athletic personnel are eligible for membership.
Honorary Members - Individuals who have made outstanding contributions or who have done outstanding service to Blinn College may be selected as honorary members by a two-thirds vote of the Board. Honorary members are not required to pay dues.
Life Members - Anyone eligible for membership as an active member by definition may become a life member by paying a life membership fee. Annual dues cease when life membership fees are paid.
Full membership privileges of the Association shall be extended to those eligible members upon receipt of their yearly membership dues and shall hereinafter by referred to as "Member" or "Members".
Annual and Life membership dues shall be determined and set by a vote of the Board. The Association's treasurer shall collect dues for all classes of members.
Article III - Board of Directors
The governing of the Association shall be vested in the Board of Directors composed of five (5) members who also serve as officers, the past president and the current Blinn College Director of Athletics.
The five members of the Board of Directors will be the current President, Vice-President, Secretary, Treasurer, and Past President and shall serve one (1) year terms and may serve no more than three (3) terms.
Article IV - Officers
The President shall be empowered to act for the Board in all matters subject to later approval by the Board, except that the President shall not appropriate non-budgeted funds in excess of $500.00 without specific authorization by the Board. The Board of Directors are authorized to conduct business for the Association.
The Officers of the Association shall consist of a President, a Vice-President, a Secretary, and a Treasurer (4 board members).
The duties of the Officers shall be to represent the Association at all public and ceremonial occasions, conduct the business of the Association, and fulfill such other duties as are appropriate to the intent and purpose of the Association. Said Officers are to be elected at the annual meeting of the members.
All nominations for Officers shall be made from the floor and all nominees for Officers must be active members in the Association in good standing.
The term of office shall be for one (1) year and shall commence the first of the month following the annual meeting and be for the next twelve calendar months. Officers may serve no more than three (3) terms.
Article V - Annual Meetings
The annual meeting shall be held at a place and time selected by the Board.
Article VI - Amendments
The By-Laws may be amended at any meeting of the Association by a majority of those present and voting thereon, provided the proposed amendment or amendments shall have first been submitted to the Board and favorably acted upon.
Article VII - Dues
The annual dues of the Association shall become due and payable prior to the Annual Meeting each year.
Article VIII - Quorum at Meeting
A quorum at any meeting of the Corporation shall be a majority of the members present at such meeting.
Article IX - Vacancies
Vacancies of an office or a position on the Board shall be filled by presidential appointment with the advice and consent of the Board for the remaining term of the position.
Article X - Meetings
Regular Board Meeting - An annual Board meeting shall be held prior to the annual meeting.
Special Meeting - Special meetings of the Board shall be called and arranged by the President or by 2/3 of the Board.
Notices - The President shall notify by mail all members of the Board of all regular and special meetings at least five (5) days before such meeting, unless notice of such meeting is waived by the members.
The President or an appointed member or officer shall notify each member of the Association of the date, time and place of the annual meeting.
Article XI - Election
All elections shall be held at the annual meeting.
Article XII - Terms of Office of Officers
Each officer of the Association shall be elected for a term of one (1) year.
Article XIII - Duties of Officers
President. The President shall be the presiding officer of the Association. The President shall be responsible for the general direction of the affairs of the Association and shall be the official representative of the Association. The President shall appoint necessary committees as the needs arise. After the term in office is concluded, the President shall assume the position of Past President and serve as an ex-officio member of the Board.
Vice-President. The Vice-President of the Association shall act as an assistant to the President and shall carry out the duties when the President is absent or incapacitated.
Secretary. The Secretary shall maintain the minutes of all board and annual meetings and perform other duties as assigned by the President in the interest of serving the stated purposes of the Association.
Treasurer. The Treasurer shall receive and disburse all funds of the Association, maintain all financial records of the Association, and perform other duties as assigned by the President in the interest of serving the stated purpose of the Association. The Treasurer, with the signature of any other officer, shall countersign all checks written on Association accounts and maintain a current list of all paid members of the Association.
Article XIV - Other Committees
The President may appoint standing committees deemed necessary to achieve the goals, purposes and best interests of the Association.
Article XV - Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with this constitution and by-laws and any special rules of order the Association may adopt.
